Official Rules: Neogen’s “Best of the Bluegrass” Giveaway — Fall 2023

1. Eligibility:
   • Open to individuals aged 18 years or older at the time of entry who are residents of the United States of America, unless prohibited by local laws or regulations.
   • The Giveaway is subject to federal, state, and local laws and regulations and void where prohibited by law.
   • Neogen Corporation’s employees, its subsidiaries, affiliates, suppliers, partners, advertising and promotion agencies, and directors (collectively the “Employees”), as well as members of an Employees' immediate family and/or those living in the same household of Employees are ineligible to participate in the Giveaway.
2. Sponsor:
   • The Giveaway is sponsored by Neogen Corporation ("Sponsor"), located at 620 Lesher Place, Lansing, MI 48912. Sponsor will conduct the Giveaway substantially as described in these Official Rules.
3. Giveaway Period:
   • The Giveaway will begin on October 1, 2023, at 12:01 AM and end on December 31, 2023 at 11:59 PM. All times are based on Eastern Time (ET).
4. Entry Requirements:
   
   Participants may enter in one of two ways:
   • Purchase Entry: To enter the Giveaway, participants must purchase at least $500 of listed Neogen Agronomics products within the Giveaway Period. For every additional $500 purchased, participants will receive one (1) additional entry.

   • Postcard Entry (No Purchase Necessary): To enter by mail, send a postcard with your full name, address, email address, and date of birth to Neogen Best of the Bluegrass Giveaway, Neogen, Inc., Attn: Michael Voss, 1847 Mercer Rd., Lexington, KY 40511. One postcard receives one entry. Mail in entries must be received by the end of the Giveaway Period.
   • By submitting an entry into this Giveaway, Entrant understands and agrees that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, your submission, name, photo, portrait, voice, likeness, image, statements about the Giveaway, and your biographical information for news, publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration.
5. Winner Selection:
   • The winner will be selected through a random drawing from all eligible entries received during the Giveaway Period. The drawing will take place within 30 days after the Giveaway Period ends. The winner will be notified via email message. If the selected winner does not respond within 14 days after the initial notification, an alternate winner may be chosen.
   • The Sponsor is not responsible for nor shall have no liability for the winner’s failure to receive notices due to email security settings that may cause notifications to be marked as spam or junk email. Nor shall be Sponsor be liable for the winner’s provision of incorrect or otherwise non-functioning contact information. If the winner 1) fails to claim the prize within 14 days from the time the award notification was sent, or 2) is found ineligible, the prize may be forfeited and an alternate Winner may be selected. Receipt of the prize offered in the Giveaway by the winner is conditioned upon compliance with any and all federal, state, and local laws and regulations. IF THE WINNER VIOLATES ANY OF THESE OFFICIAL RULES, THE WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
6. Prize:
   • One (1) Winner and One (1) Distributor Sales representative and One (1) guest each will receive a 3-day, 2-night trip to Lexington, Kentucky during the Keeneland Spring Meet (April 2024).
     1. Trip includes:
        • Airfare
        • Hotel Accommodations (2 nights)
        • Deluxe bourbon distillery tour
        • Tickets to Keeneland for day of meet
        • Ground transportation to hotel and events
        • Two (2) dinners
   • The prize is non-transferable and cannot be redeemed for cash or any other substitution.
   • The Sponsor reserves the right to substitute the prize with an alternative of equal or greater value if necessary.
   • The Sponsor will contact the Winner to make arrangements connected to the prize.
7. Odds
   • The total number of eligible entries received determines the odds of winning.
8. General Conditions:
   • The Sponsor reserves the right to disqualify any participant who violates the rules or attempts to manipulate or tamper with the Giveaway process.
   • The Sponsor is not responsible for any technical malfunctions, errors, or failures that may occur during the Giveaway Period.
   • The Sponsor reserves the right to cancel, suspend, or modify the Giveaway in its sole discretion if it is not capable of running as planned.
   • The Giveaway is subject to all applicable laws and regulations.
9. Release and Limitations of Liability:
   • Your entry into this Giveaway constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Giveaway and/or the 1) winner accepting, possessing, using, or misusing of any awarded prize or any portion thereof; 2) any type of technical failure; 3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; 4) unauthorized intervention in any part of the entry process or the Promotion; 5) electronic error or human error in the Giveaway administration or the processing of entries.
10. Governing Law:
    • THIS GIVEAWAY IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF MICHIGAN, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. The Entrant agrees, as a condition of participating in this promotion, that if any disputes cannot be resolved between the Entrant and the Sponsor, and if causes of action arise out of or are connected with this Giveaway, they shall be individually resolved exclusively before a court located in the State of Michigan having jurisdiction, without resorting to any form of class action. Under no circumstances in any such dispute shall the participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with entering this Giveaway). The participant waives all rights to have damages multiplied or increased.
11. Privacy Policy:
    • Any personal information provided by participants will be used in accordance with the Sponsor's privacy policy.
